Terms of service

Effective 5 November 2026

These terms cover customers who use lloopd, and the people who take part in a workflow on the web or on WhatsApp. They are governed by the laws of Kenya. The privacy notice sits alongside them.

On this page

1. Agreement

These terms are a contract between MOTIONGRID TECHNOLOGIES LIMITED (Motiongrid, we, us) and the customer that opens a lloopd workspace, books a plan, or otherwise asks us to provide lloopd. lloopd is the workflow product described on this website.

You accept these terms when you ask us to open a workspace, when you use a paid or free plan, or when you connect a WhatsApp Business number or a Google account to lloopd. A signed order or statement of work prevails over these terms where they conflict, for that order only.

A person who only submits a response, on the web or on WhatsApp, is a participant. A participant is not buying a plan by doing that. The rules on acceptable use and on platform data still apply to a participant. Personal data is covered by the privacy notice.

The English text on this page is the agreement. These terms are governed by the laws of Kenya, including the Data Protection Act, 2019, the Consumer Protection Act, 2012 where it applies to you, and the laws that govern electronic communications.

2. The service

lloopd lets a customer design workflows, collect responses on the web and, where eligible, through a WhatsApp Business channel, automate steps such as assignments and approvals, and review operational records. AI Studio and Ask lloopd are part of the service on the plans that include them.

We provide the service with reasonable care. We do not promise that it will be uninterrupted, that every workflow will fit a particular business, or that a message will be delivered by WhatsApp or by any other network we do not operate. A service-level agreement applies only where the plan or a signed order includes one.

The marketing site describes the product. It does not, by itself, promise a feature that your plan or order does not include.

3. Customers and participants

The customer is responsible for its users, for the workflows it publishes, and for the people it asks to respond. The customer will give each user only the access their work requires, and will remove access when that person should no longer have it.

The customer decides what a workflow asks. The customer must have a lawful basis for the personal data it collects, and must give participants the information the Data Protection Act requires before the data is collected. A participant should not submit information they are not allowed to share.

If you are a participant, your organisation, or the business that sent you the workflow, controls that record. Questions about why you were contacted, or about correcting a submission, go to that organisation as well as to us. Our privacy notice explains what we do with the data and how to ask for deletion.

4. Accounts

Keep account credentials confidential and tell us promptly if you believe someone else is using the account. You are responsible for activity under your account until you tell us. The same applies to API credentials on a plan that includes API access.

The information you give us for the account must be accurate, and you must update it when it changes. We may refuse a name or a workspace that misleads other people about who is operating it.

5. Acceptable use

You will not, and you will not ask anyone else to:

  • break Kenyan law, or the law that applies where a participant is;
  • try to access another customer’s workspace, or probe, scan, or break the service;
  • upload malware, or interfere with the integrity of the service;
  • send unsolicited commercial messages, or message a person who has not agreed to be contacted where consent is required by Kenyan law or by the channel’s rules;
  • collect a child’s personal data unless a parent or guardian has consented and the processing protects and advances the child’s best interests;
  • collect sensitive personal data, including health data, unless the Data Protection Act allows that processing;
  • use a workflow to make a decision based solely on automated processing that has a legal effect on a person, or that significantly affects them, unless that person receives the notice and the human review section 35 of the Data Protection Act requires;
  • resell the service, or hold lloopd out as your own product, without our written agreement.

We may remove content or suspend access where we reasonably believe a workflow breaks this clause. Where we can do so safely, we will tell the customer and give them a chance to fix the issue.

6. WhatsApp and Meta

WhatsApp is operated by Meta, not by Motiongrid. A WhatsApp Business connection depends on Meta’s eligibility rules, approval, and the WhatsApp Business Terms (opens in a new tab). The customer must comply with those terms and with Meta’s policies for the business number it connects.

Messaging charges that Meta bills for conversations are the customer’s, separate from lloopd plan fees, unless a signed order says we collect them. We do not control WhatsApp’s availability, its approval decisions, or its charges.

The customer must have authority to share participant phone numbers and message content with us and with Meta for the workflow. We use that data only to provide the channel and the workflow, as the privacy notice describes. We do not sell it, and we do not use WhatsApp conversation data to advertise to participants.

If Facebook, Instagram, or another Meta product is connected, the customer and the user authorise only the access shown on the Meta consent screen, and they may remove it in their Meta settings.

7. Google

Connecting a Google account is optional. The customer, or the user who connects it, authorises the access shown on Google’s consent screen and no other access. That data is used to provide the feature that was turned on.

lloopd’s use and transfer to any other app of information received from Google APIs will adhere to the Google API Services User Data Policy (opens in a new tab), including the Limited Use requirements. The privacy notice states the limits in full, including how to revoke access and how to ask for deletion.

Revoking access in the Google Account may stop the feature that needed it. It does not, by itself, close the lloopd workspace.

8. Customer data

The customer keeps ownership of its workflows, submissions, files, and other content it or its participants put into lloopd. The customer gives Motiongrid a licence to host, copy, transmit, and display that content only so we can provide, secure, and support the service.

For personal data in the workspace, the customer is the data controller and Motiongrid is the data processor. This clause is the written contract section 42 of the Data Protection Act requires. We process that personal data only on the customer’s documented instructions: these terms, the privacy notice, and the configuration of the workspace. We will tell the customer if an instruction would break Kenyan data protection law, and we will not follow that instruction.

The customer warrants that:

  • it has a lawful basis under section 30 of the Data Protection Act for the personal data it submits or collects;
  • it has given participants the notice section 29 requires, or it will do so before collection;
  • it will not ask us to process a child’s data, or sensitive personal data, without the grounds the Act requires;
  • where personal data will be stored or handled outside Kenya, it has met the transfer conditions in sections 48 and 49, including consent where sensitive personal data leaves Kenya.

We may use other processors, including the hosting, email, and messaging providers named in the privacy notice. We remain responsible to the customer for their processing of workspace data under this clause. We do not use one customer’s workspace content to provide the service to another customer.

If we process personal data outside the customer’s instructions, we are the data controller for that processing and we take on the controller’s duties for it.

9. AI features

AI Studio can draft a workflow from a description or from a structure the customer imports. The draft is for a person at the customer to review and edit before it is published. Ask lloopd answers questions from records the user’s role is allowed to see. Answers can be incomplete or wrong. They are not professional, legal, medical, or financial advice, and they are not a decision of Motiongrid.

The customer is responsible for what it publishes and for decisions it makes after reading an answer. Where a workflow would decide something that significantly affects a person, the customer must keep a human able to review that outcome, as the privacy notice explains.

10. Plans and fees

Plans, included usage, and prices are on the pricing page. Prices are in US dollars unless an order states another currency. Taxes that Kenyan law requires, including VAT where the supply is taxable, are added. The Starter plan is free. These terms still apply to it.

Paid plans are billed on the cycle the customer selects. Fees for a period that has started are payable, except where Kenyan law requires a refund. If a payment fails, we may suspend the paid features after we have written to the billing contact and given a reasonable time to pay.

We may change prices by updating the pricing page before the next period they apply to. A change does not alter a period that has already been paid, except for a tax change the law requires. Enterprise pricing is what the signed order states.

11. Intellectual property

Motiongrid owns lloopd, the software, this website, and the lloopd name and brand. These terms do not transfer that ownership. The customer receives a right to use the service for its internal operations during the subscription, in line with the plan.

If you send us a suggestion, we may use it to improve lloopd without an obligation to pay for it. We will not treat your workspace content as a suggestion.

12. Confidentiality

Each party will keep the other party’s non-public information confidential, use it only to perform this contract, and disclose it only to people who need it for that purpose and who are bound to keep it confidential. This does not apply to information that is public through no fault of the recipient, that the recipient already knew, or that the law or a court requires to be disclosed. A party required to disclose will, where the law allows, tell the other party first.

13. Changes and availability

We may change the service as it develops, and we may add or retire a feature. If we retire a feature a paying customer is using, we will give that customer a reasonable time to adjust, unless the change is needed for security, law, or a platform rule set by Meta or Google.

We may change these terms by posting the new version on this page with a new date. If a change materially reduces a paying customer’s rights, we will email the account contact at least 15 days before it applies. Continuing to use the service after that date is acceptance of the new terms. If the customer does not agree, it may close the account before the date and we will not apply the change to the period already paid.

14. Suspension and ending

The customer may stop using lloopd at any time and may ask us to close the account by emailing info@lloopd.com. Export data you need before you ask us to delete the workspace. The privacy notice states how long we then keep personal data.

We may suspend or close a workspace if the customer breaks these terms, fails to pay fees that are due, or creates a security or legal risk. We will give notice unless the law, or the risk, requires us to act first. We may close a free workspace on reasonable notice.

Clauses that by their nature should continue, including ownership, confidentiality, liability, and governing law, continue after the contract ends.

15. Liability

To the extent Kenyan law allows, neither party is liable to the other for lost profits, lost revenue, or indirect loss arising out of these terms or the service. Our total liability arising in any twelve-month period is limited to the fees you paid us for lloopd in that period. If you paid no fees in that period, the limit is one hundred US dollars.

Nothing in these terms limits liability for fraud, for death or personal injury caused by negligence, or for any liability that the Consumer Protection Act, 2012, the Data Protection Act, 2019, or another Kenyan law does not allow a party to limit or exclude. A data subject’s rights under the Data Protection Act are not reduced by this clause.

16. The customer’s responsibility for claims

The customer will indemnify Motiongrid against claims, losses, and reasonable legal costs brought by a third party arising from the customer’s content, from the customer collecting or messaging personal data without a lawful basis, or from the customer’s breach of these terms or of Meta’s or Google’s rules. This does not apply to the extent the claim is caused by our breach of these terms.

17. Governing law and disputes

These terms are governed by the laws of Kenya. The courts of Kenya have exclusive jurisdiction. Before starting proceedings, the party raising the dispute will write to the other and allow 30 days to try to resolve it. This does not stop a party from seeking an urgent order, and it does not stop a data subject from complaining to the Office of the Data Protection Commissioner.

18. General

These terms, the privacy notice, and any signed order are the whole agreement about lloopd. They replace earlier discussions on that subject. If a court holds part of these terms unenforceable, the rest stays in force. A delay in enforcing a right is not a waiver of it.

The customer may not assign the contract without our written consent. We may assign it to a successor of the business that provides lloopd, and we will tell the customer. Nothing in these terms makes either party the other party’s partner, agent, or employee.

We are not liable for a failure caused by an event outside our reasonable control, including a failure of a public network, of WhatsApp, or of a power or hosting provider, for as long as the event continues. We will tell the customer when we reasonably can.

Notices to us go to info@lloopd.com. Notices to the customer go to the email on the account. A notice sent by email is received on the next business day in Kenya, unless the sender receives a delivery failure.
